Gordon Brothers bought the chain from Pepco Group for £1 in June 2025 and committed £80m to a turnaround.

That programme included about 149 shop closures and roughly 2,200 job losses. The latest reporting adds a named backer to a process that, until now, had involved an unnamed one.

What the reported offer involves

According to Retail Gazette, Martin Property Group would pay as little as £1 for Poundland’s equity, repay outstanding loans and inject several million pounds of new funding. Gordon Brothers is reported to want a £30m shareholder loan repaid in full. The structure would be a solvent takeover led by the existing management team, including chief executive Barry Williams, who was reported on 1 October to be in advanced talks with an unnamed financial backer.

Andy Bond, who previously led both Asda and Poundland, was also reported to be involved. The reports do not mention a franchise element, so Poundland is treated here as a company-run chain, unlike the brands taking on operators in the UK, where a change of owner raises questions for each franchisee as well.

Trading and balance sheet figures

Retail Gazette’s 1 October report put Poundland’s latest quarterly like-for-like sales growth at 3.3%. It said pre-tax profit was expected to be about £80m better than the previous year, which ended with a pre-tax loss of £85m for the year to September 2025. The company was reported to hold more than £30m in cash, plus a £95m lending facility from Gordon Brothers, of which £50m had been drawn.

The sale was reportedly being marketed with a £30m price tag. Uncertainty over ownership was also reported to have led an insurer covering some suppliers to withdraw credit cover, which raised concerns about product supply.

Other bidders and the alternatives reported

Other parties thought to be interested include Fortress, the owner of Poundstretcher, and Modella Capital, which owns Hobbycraft and TG Jones. Neither is part of the management proposal. First-round bids were reported to have been submitted in the week of 1 October, and buyers were reported to be weighing offers for the whole business or for parts of it.

Retail Gazette described a pre-pack administration as a possible outcome under alternative proposals, while the management-led plan is intended to avoid administration. An administration is a formal insolvency procedure, and any appointment of administrators would be recorded in The Gazette, the kind of filing worth checking on any brand before signing with it, as how to choose your franchisor sets out.

What has not been announced

As of 12 October 2026, the reports cited here quote no statement from Poundland, Gordon Brothers or Martin Property Group, and no completion date or final price has been reported. The bid process run by Alvarez & Marsal has not been reported as concluded.

Figures attributed to unnamed sources remain unconfirmed by the companies concerned, and a formal notice of any procedure would be the first primary record of a change in the chain’s legal position.

Derry-based Martin Property Group is reportedly the preferred backer of a management-led takeover of Poundland, Retail Gazette reported on 12 October 2026.
